About These Terms

Welcome to Velvet Sage Gifts.

Velvet Sage Gifts is a digital gifting platform that combines curated shopping, recipient management, concierge services, reminder automation, subscriptions, and intelligent gift recommendations to simplify personal and corporate gift giving.

Our Platform is designed to help individuals, families, professionals, businesses, and organizations organize recipient information, remember important occasions, discover meaningful gifts, and create thoughtful gifting experiences with greater confidence and convenience.

These Terms of Use govern your access to and use of the Velvet Sage Gifts Platform, including our website, online store, subscriptions, products, digital services, Gift Concierge, Recipient Database, reminder services, corporate gifting services, and all related Platform features.

By accessing or using the Platform, creating an account, purchasing products, subscribing to services, or otherwise interacting with the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use.

If you do not agree to these Terms of Use, please discontinue use of the Platform.

Definitions

For the purposes of these Terms of Use, the following definitions apply.

“Velvet Sage Gifts,” “we,” “our,” or “us”

refers to the Velvet Sage Gifts Platform and the business operating the Platform.

“Platform”

means the Velvet Sage Gifts website, online store, digital services, subscriptions, Recipient Database, Gift Concierge, reminder services, recommendation technologies, corporate gifting services, customer accounts, and all current or future features made available by Velvet Sage Gifts.

“Customer”

means any individual or organization accessing or using the Platform.

“Business Account”

means a Customer account created for business, corporate, organizational, institutional, or professional gifting purposes.

“Subscription”

means any recurring paid service offered through the Platform that provides ongoing access to premium features, Recipient management tools, Gift Concierge services, reminder automation, corporate gifting functionality, or other Platform services.

“Recipient”

means any individual whose information is voluntarily entered into the Platform by a Customer for the purpose of managing reminders, gift history, gift delivery, recommendations, or related gifting services.

“Recipient Database”

means the secure collection of Recipient information maintained by the Platform on behalf of Customers.

“Gift Concierge”

means the collection of services, curated collections, intelligent recommendation technologies, automation, search tools, and customer assistance features designed to simplify gift selection.

“AI Technologies”

means artificial intelligence, machine learning, automation, recommendation engines, intelligent search, predictive technologies, and similar technologies that may assist in providing Platform services.

“Content”

means all text, graphics, images, photographs, logos, branding, software, databases, product information, documentation, videos, customer submissions, reviews, and other materials displayed on or submitted through the Platform.

1. The Velvet Sage Gifts Platform

Velvet Sage Gifts provides a digital gifting Platform designed to simplify thoughtful gift giving for individuals, families, businesses, organizations, and professional offices.

The Platform combines curated shopping, Recipient management, reminder automation, subscriptions, concierge services, intelligent gift recommendations, and corporate gifting tools into a unified gifting experience.

Platform features may include, but are not limited to:

• Curated gift collections
• Physical products
• Digital products
• Gift cards
• Print-on-demand products
• Gift Concierge services
• Recipient management
• Reminder scheduling
• Personalized gift recommendations
• Business and corporate gifting tools
• Subscription services
• Customer accounts
• Future Platform enhancements

Velvet Sage Gifts continually improves the Platform. Features, products, services, pricing, subscriptions, functionality, and availability may be introduced, modified, suspended, or discontinued at any time.

Nothing contained within these Terms guarantees the continued availability of any specific feature, product, service, or Subscription.

2. Customer Accounts

Certain Platform features require the creation of a Customer account.

Customers are responsible for maintaining the confidentiality of their account credentials and for all activity occurring under their account.

Customers agree to provide accurate, complete, and current information when creating or maintaining an account and to promptly update that information whenever changes occur.

Customers are responsible for maintaining accurate contact information to receive reminders, account notifications, order confirmations, Subscription information, and other communications relating to the Platform.

Velvet Sage Gifts reserves the right to suspend, restrict, or terminate accounts where fraudulent activity, unlawful conduct, security concerns, misuse of the Platform, or violations of these Terms are reasonably suspected.

3. Recipient Information & Recipient Database

A core feature of the Platform is the Recipient Database, which allows Customers to organize Recipient information for ongoing personal and business gifting.

Recipient information may include names, mailing addresses, email addresses, telephone numbers, important dates, relationships, gift preferences, interests, purchase history, reminder schedules, notes, and other information voluntarily provided by the Customer.

Customers represent that they have the legal authority, appropriate consent, or other lawful basis to provide Recipient information for use within the Platform.

Customers remain solely responsible for ensuring Recipient information is accurate, complete, current, and appropriate.

Velvet Sage Gifts uses Recipient information solely for providing Platform functionality, including Recipient management, reminders, recommendations, recurring gifting, corporate gifting services, personalized experiences, customer support, and related Platform features.

Velvet Sage Gifts is not responsible for failed deliveries, missed reminders, inaccurate recommendations, delayed communications, or other issues resulting from inaccurate, incomplete, outdated, or incorrect Recipient information supplied by Customers.

4. Gift Concierge & Intelligent Recommendations

The Velvet Sage Gifts Gift Concierge is designed to simplify thoughtful gift giving by helping Customers discover meaningful gift ideas while saving time and improving organization.

Gift recommendations may be generated using curated collections, Customer preferences, Recipient information, purchase history, intelligent database matching, automation, AI Technologies, seasonal collections, and other recommendation methods designed to assist Customers in discovering thoughtful gift options.

Recommendations are intended solely as helpful suggestions.

Although Velvet Sage Gifts makes commercially reasonable efforts to provide thoughtful recommendations, personal taste, Recipient preferences, allergies, cultural considerations, pricing, availability, shipping limitations, and individual circumstances cannot always be known or accurately predicted.

Customers remain solely responsible for reviewing, selecting, approving, and purchasing all gifts and for determining whether any product or recommendation is appropriate for the intended Recipient.

Velvet Sage Gifts makes no representation or warranty that any recommendation will be appropriate, preferred, appreciated, available, or suitable for any particular Recipient or occasion.

5. Artificial Intelligence & Reminder Services

The Platform may utilize AI Technologies, automation, intelligent search, database technologies, recommendation engines, and similar technologies to improve the gifting experience.

These technologies may assist with gift recommendations, reminder scheduling, Recipient organization, product discovery, personalized messaging, search functionality, corporate gifting programs, Subscription services, customer support, and future Platform enhancements.

Recommendations and automated suggestions are provided solely to assist Customers and should not be interpreted as guarantees, professional advice, or assurances regarding the suitability, availability, or outcome of any purchase.

The Platform also provides reminder services intended to help Customers remember important dates and gifting occasions.

While Velvet Sage Gifts makes commercially reasonable efforts to deliver reminders and scheduled communications in a timely manner, delivery cannot be guaranteed due to circumstances beyond our reasonable control, including internet outages, spam filtering, email delivery issues, mobile carrier restrictions, software maintenance, third-party service interruptions, or inaccurate Customer information.

Reminder services are provided as a convenience. Customers remain responsible for verifying important dates, reviewing reminder information, confirming Recipient details, and making final purchasing decisions.

6. Data Security

Protecting Customer and Recipient information is one of Velvet Sage Gifts' highest priorities.

Velvet Sage Gifts is committed to protecting Customer and Recipient information through commercially reasonable administrative, organizational, and technical safeguards. These safeguards may include encryption where appropriate, secure cloud infrastructure, controlled access, routine security reviews, monitored systems, and regular backup procedures designed to protect Platform information against unauthorized access, disclosure, alteration, misuse, or destruction.

Recipient information is maintained separately from the public-facing website wherever practical and is protected using security measures appropriate to the services provided.

Although Velvet Sage Gifts continually evaluates and improves its security practices, no internet transmission, cloud service, electronic storage system, or online platform can guarantee absolute security or uninterrupted availability.

By using the Platform, Customers acknowledge the inherent risks associated with internet-based services.

7. Payment Processing

Velvet Sage Gifts does not collect, process, or store Customer payment card information on its own website, internal databases, or Platform infrastructure.

Payments are securely processed through Shopify and its authorized payment processing partners using their respective payment technologies and security standards.

By completing a purchase, Customers also agree to the applicable terms, conditions, privacy policies, and payment processing practices of Shopify and the selected payment provider.

Velvet Sage Gifts is not responsible for payment processing interruptions, declined transactions, fraud prevention decisions, banking delays, or security incidents occurring within third-party payment processing systems beyond our reasonable control.

8. Products, Pricing & Availability

Velvet Sage Gifts offers a curated selection of physical products, digital products, gift cards, print-on-demand products, and other gifting solutions.

We strive to ensure product descriptions, pricing, photographs, specifications, and availability are accurate and current. However, errors, omissions, supplier changes, inventory shortages, pricing adjustments, discontinued products, or technical issues may occasionally occur.

Product availability cannot be guaranteed until an order has been accepted and payment has been successfully processed.

Velvet Sage Gifts reserves the right to correct errors, update product information, modify pricing, substitute comparable products where appropriate, discontinue products, or limit product quantities at any time.

If an order cannot be fulfilled, Customers will be notified and, where appropriate, any payment received for unavailable items will be refunded in accordance with our Refund & Returns Policy.

9. Orders

Submission of an order does not constitute acceptance by Velvet Sage Gifts.

An order is considered accepted only after payment has been authorized and the order has entered processing.

Velvet Sage Gifts reserves the right to decline, limit, suspend, or cancel orders where reasonably necessary, including in cases involving:

• pricing or technical errors;
• inventory shortages;
• suspected fraud;
• payment verification concerns;
• supplier limitations;
• shipping restrictions;
• duplicate orders; or
• circumstances beyond our reasonable control.

Customers are responsible for reviewing order details before completing a purchase, including Recipient information, shipping information, personalization requests, quantities, and selected products.

10. Business Accounts & Corporate Gifting

Velvet Sage Gifts offers Business Accounts designed to simplify ongoing gifting for businesses, organizations, charities, educational institutions, and professional offices.

Business Account services may include Recipient management, employee recognition programs, client appreciation programs, milestone tracking, onboarding gifts, retirement gifts, holiday gifting, recurring gifting schedules, reporting tools, Gift Concierge services, and other business-focused Platform features.

Business Customers remain responsible for reviewing Recipient information, approving gift selections, confirming delivery details, and ensuring Recipient information has been collected and provided in accordance with applicable laws.

Where appropriate, certain corporate gifting services may also be governed by separate written agreements.

11. Subscriptions

Velvet Sage Gifts may offer Subscription plans that provide enhanced access to Platform features and ongoing gifting services.

Subscription benefits may include expanded Recipient management, reminder automation, Gift Concierge services, business account functionality, reporting tools, premium support, additional storage capacity, increased Recipient limits, recurring gifting services, and future premium Platform features.

Subscription pricing, billing frequency, renewal terms, included features, account limits, and cancellation procedures will be disclosed at the time of enrollment.

Unless otherwise stated, Subscriptions automatically renew until cancelled by the Customer in accordance with the applicable Subscription terms.

Velvet Sage Gifts reserves the right to introduce, modify, replace, discontinue, or improve Subscription plans, features, pricing, or included services as the Platform evolves, subject to applicable law.

12. Shipping, Delivery & Digital Fulfillment

Velvet Sage Gifts offers products that may be delivered physically, digitally, or through a combination of both.

Estimated shipping and delivery times are provided for convenience only and are not guaranteed unless expressly stated.

Delivery times may vary due to carrier operations, supplier processing times, weather conditions, customs procedures, recipient availability, incorrect delivery information, holidays, or other circumstances beyond our reasonable control.

Customers are responsible for ensuring that Recipient names, delivery addresses, email addresses, telephone numbers, and other delivery information are accurate before completing an order.

Velvet Sage Gifts is not responsible for delays, failed deliveries, or additional costs resulting from inaccurate Customer-supplied information.

13. Promotions, Gift Cards & Special Offers

From time to time, Velvet Sage Gifts may offer promotional pricing, discount codes, referral incentives, loyalty rewards, gift cards, promotional credits, bundled offers, or other special promotions.

Unless expressly stated otherwise:

• Promotional offers have no cash value.
• Promotional offers may not be combined.
• Promotional offers may be subject to eligibility requirements.
• Promotional offers may expire without notice.
• Promotional offers apply only while supplies or promotional inventory remain available.
• Promotional offers may be modified, suspended, or withdrawn at any time.

Velvet Sage Gifts reserves the right to refuse, suspend, or cancel promotional offers where fraud, misuse, technical errors, pricing errors, or abuse of a promotion is reasonably suspected.

14. Customer Reviews & User Content

Customers may voluntarily submit reviews, comments, testimonials, photographs, suggestions, gift ideas, or other content through the Platform.

By submitting Content, Customers confirm that:

• they own the Content or have permission to submit it;
• the Content does not infringe the rights of any third party;
• the Content is accurate to the best of their knowledge;
• the Content is not unlawful, defamatory, abusive, misleading, discriminatory, obscene, or otherwise inappropriate.

Customers retain ownership of their submitted Content.

By submitting Content through the Platform, Customers grant Velvet Sage Gifts a non-exclusive, worldwide, royalty-free license to use, reproduce, publish, display, adapt, and distribute that Content for the purpose of operating, improving, promoting, and marketing the Platform.

Velvet Sage Gifts reserves the right, but not the obligation, to review, edit, decline, or remove submitted Content at its sole discretion.

15. Platform Communications

By creating an account, placing an order, subscribing to services, or otherwise using the Platform, Customers consent to receive electronic communications relating to their account, orders, reminders, Recipient management, Subscription services, customer support, security notifications, and other operational communications necessary for providing Platform services.

Where permitted by applicable law, Velvet Sage Gifts may also send promotional or marketing communications. Customers may unsubscribe from marketing communications at any time using the options provided within those communications.

Customers remain responsible for maintaining current contact information to ensure the timely delivery of Platform communications.

16. Third-Party Services

The Platform may integrate with or rely upon independent third-party providers to support certain services and functionality, including website hosting, cloud infrastructure, payment processing, analytics, communications, shipping services, artificial intelligence technologies, customer support tools, security services, mapping services, and other operational systems.

These services operate independently of Velvet Sage Gifts.

Although we carefully select service providers that support the operation of the Platform, Velvet Sage Gifts does not control their ongoing availability, performance, security practices, or policies.

Accordingly, Velvet Sage Gifts is not responsible for interruptions, delays, outages, errors, security incidents, or other issues arising from third-party services beyond our reasonable control.

Links to third-party websites are provided solely for convenience and do not constitute an endorsement of those websites, products, or services.

17. Intellectual Property

Unless otherwise indicated, all Content made available through the Platform, including text, graphics, logos, branding, software, databases, designs, layouts, photographs, videos, documentation, product information, and other original materials, is owned by Velvet Sage Gifts or used under appropriate license.

The Platform, including its organization, Recipient Database structure, Gift Concierge concepts, workflows, original content, software, and proprietary features, is protected by applicable intellectual property laws.

Except as expressly permitted by applicable law, no portion of the Platform may be copied, reproduced, distributed, modified, reverse engineered, republished, or used for commercial purposes without the prior written permission of Velvet Sage Gifts.

Nothing contained within these Terms grants any ownership interest in, or license to use, the intellectual property of Velvet Sage Gifts except the limited right to access and use the Platform in accordance with these Terms.

18. Acceptable Use

Customers agree to use the Platform lawfully, responsibly, and in a manner that respects the rights of others.

Customers agree not to:

• use the Platform for unlawful, fraudulent, or deceptive purposes;
• interfere with or attempt to compromise the security or operation of the Platform;
• gain or attempt to gain unauthorized access to accounts, systems, databases, or services;
• upload malicious software, viruses, or harmful code;
• submit false, misleading, or unauthorized Recipient information;
• misuse promotions, discounts, gift cards, or Subscription services;
• impersonate another individual, business, or organization;
• interfere with the experience of other Customers; or
• use the Platform in any manner that violates applicable law or these Terms of Use.

Velvet Sage Gifts reserves the right to suspend, restrict, or terminate access to the Platform where these Terms have been violated or where such action is reasonably necessary to protect the Platform, its Customers, or its service providers.

19. Platform Availability

Velvet Sage Gifts is committed to providing a reliable, secure, and continually improving Platform. While we strive to maintain uninterrupted access, the Platform and its services may occasionally become unavailable due to scheduled maintenance, software updates, security improvements, infrastructure upgrades, supplier changes, internet interruptions, technical issues, or circumstances beyond our reasonable control.

We reserve the right to modify, enhance, replace, suspend, or discontinue any feature, product, service, Subscription, or portion of the Platform at any time as part of the normal evolution of our business.

Whenever reasonably practical, planned maintenance that may significantly affect Platform availability will be performed during periods intended to minimize disruption.

20. Limitation of Liability

To the fullest extent permitted by applicable law, Velvet Sage Gifts shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from or relating to the use of the Platform, its products, services, Subscriptions, Recipient Database, Gift Concierge, reminder services, recommendations, or other Platform features.

Without limiting the generality of the foregoing, Velvet Sage Gifts is not responsible for losses or damages resulting from:

• delayed or failed deliveries;
• missed reminders or scheduled communications;
• inaccurate or incomplete Customer or Recipient information;
• Customer input errors;
• product substitutions or discontinued products;
• supplier inventory shortages;
• shipping carrier delays;
• customs or import delays;
• internet outages or service interruptions;
• software defects or temporary Platform unavailability;
• failures of third-party service providers;
• recommendations that do not meet Customer expectations; or
• events beyond our reasonable control.

Gift recommendations, reminders, Recipient management tools, and Concierge services are intended to assist Customers in making informed gifting decisions. They are not guarantees of product suitability, recipient satisfaction, delivery timing, or any particular outcome.

To the fullest extent permitted by law, the total liability of Velvet Sage Gifts arising from any claim relating to a specific order, Subscription, or service shall not exceed the amount paid by the Customer for that order, Subscription, or service.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law, including mandatory consumer protections available under Portuguese or European Union law.

21. Force Majeure

Velvet Sage Gifts shall not be responsible for delays, interruptions, or failures in performing its obligations where such delays or failures result from events beyond our reasonable control.

These events may include, but are not limited to:

• natural disasters;
• severe weather;
• fire or flood;
• labour disputes;
• transportation interruptions;
• supplier failures;
• utility failures;
• internet or telecommunications outages;
• cyberattacks or widespread technology failures;
• government actions or regulatory changes;
• public health emergencies;
• pandemics;
• acts of terrorism; or
• any other unforeseen event beyond our reasonable control.

Where reasonably practicable, Velvet Sage Gifts will make commercially reasonable efforts to resume normal operations as soon as circumstances permit.

22. Changes to These Terms

Velvet Sage Gifts may update these Terms of Use from time to time to reflect changes in the Platform, our services, business practices, legal requirements, or applicable technologies.

The most current version will always be published on the Platform together with its Effective Date.

Continued access to or use of the Platform after revised Terms become effective constitutes acceptance of those updated Terms.

Customers are encouraged to review these Terms periodically.

23. Entire Agreement

These Terms of Use, together with our Privacy Policy, Cookie Policy, Shipping Policy, Refund & Returns Policy, Accessibility Statement, Acceptable Use Policy, and any additional policies or agreements published by Velvet Sage Gifts, constitute the entire agreement governing the use of the Platform.

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

Any failure by Velvet Sage Gifts to enforce a provision of these Terms shall not constitute a waiver of any right or remedy available under these Terms or applicable law.

24. Governing Law

These Terms of Use shall be governed by and interpreted in accordance with the laws of Portugal and, where applicable, the laws and regulations of the European Union.

Nothing contained within these Terms is intended to limit or exclude any consumer rights that cannot be waived under applicable Portuguese or European Union law.

Any dispute arising out of or relating to these Terms or the use of the Platform shall be subject to the jurisdiction of the competent courts of Portugal, unless applicable law provides otherwise.
