Acceptable Use Policy

1. Purpose

Velvet Sage Gifts (“Velvet Sage Gifts,” “we,” “us,” or “our”) is committed to providing a secure, respectful, reliable, and trustworthy digital environment for all users of our Platform.

This Acceptable Use Policy (“Policy”) establishes the standards governing the appropriate use of the Velvet Sage Gifts website, applications, digital services, communications, technologies, and related features (collectively, the “Platform”). It is intended to protect our Customers, Gift Recipients, Corporate Clients, Seller Partners, Visitors, affiliates, service providers, employees, and the overall integrity of the Platform.

The Platform is designed to simplify thoughtful gift giving, relationship management, reminder automation, recipient management, concierge services, intelligent gift recommendations, and related commerce activities. To preserve the quality, security, and reliability of these services, all users are expected to use the Platform responsibly and in accordance with this Policy.

This Policy supplements, and should be read together with, our Platform Terms of Use, Privacy Policy, Shipping Policy, Return & Refund Policy, Accessibility Statement, and any additional agreements applicable to specific Platform services. In the event of a conflict between this Policy and another governing agreement, the applicable agreement shall control to the extent of the conflict.

2. Scope

This Policy applies to every individual and entity that accesses or uses the Platform, including but not limited to:

Visitors;
Registered Customers;
Gift Recipients;
Gift Senders;
Corporate Clients;
Corporate Administrators;
Authorized Corporate Users;
Seller Partners;
Vendors;
Affiliates;
Marketing Partners;
Independent Contractors;
Service Providers; and
Any other individual or organization interacting with the Platform.

This Policy applies to all Platform activities, including but not limited to:

Creating or managing user accounts;
Browsing Products and services;
Purchasing or receiving gifts;
Managing recipient information;
Uploading content or personalization materials;
Sending gift messages or communications;
Participating in reminder or concierge services;
Using artificial intelligence or recommendation features made available through the Platform;
Participating in referral, rewards, loyalty, affiliate, or promotional programs; and
Accessing any software, application programming interfaces (APIs), integrations, or future Platform functionality made available by Velvet Sage Gifts.

Users are responsible for ensuring that anyone accessing the Platform through their account, organization, or authorized access credentials complies with this Policy.

3. Lawful and Responsible Use

Users may use the Platform only for lawful purposes and in a manner consistent with this Policy and all applicable laws, regulations, contractual obligations, and generally accepted standards of responsible online conduct.

By accessing or using the Platform, users agree that they will:

Use the Platform honestly, respectfully, and in good faith.
Provide accurate and current information where requested.
Maintain the confidentiality and security of their account credentials.
Respect the privacy, rights, and personal information of other users.
Use Platform features only for their intended purposes.
Comply with all applicable intellectual property, privacy, consumer protection, export control, sanctions, anti-spam, and electronic communications laws.
Promptly notify Velvet Sage Gifts of suspected unauthorized account activity or security concerns involving their account.

Users remain solely responsible for all activities conducted through their accounts, whether performed personally or by another individual using their authorized credentials.

Nothing in this Policy grants any user ownership of, or rights beyond those expressly authorized for, the Platform, its software, services, intellectual property, databases, content, or related technologies.

4. Prohibited Activities

Users may not use the Platform in any manner that is unlawful, harmful, deceptive, abusive, disruptive, or inconsistent with the intended purpose of Velvet Sage Gifts.

Without limiting the generality of this Policy, users agree that they will not engage in any of the following activities:

4.1 Illegal or Fraudulent Activity

Users shall not:

Violate any applicable local, regional, national, or international law or regulation.
Use the Platform to facilitate unlawful transactions or illegal activities.
Submit false, misleading, or fraudulent information.
Impersonate another individual, organization, or business.
Create accounts using false identities or unauthorized information.
Misrepresent authority to act on behalf of another person or organization.
Engage in identity theft, payment fraud, financial fraud, or other deceptive conduct.
Circumvent sanctions, export controls, or applicable trade restrictions.

4.2 Misuse of Recipient Information

Because the Platform is designed to manage gifting relationships and recipient information, users shall not:

Collect recipient information without appropriate authority or permission.
Upload recipient information that the user has no legal right to use.
Sell, rent, distribute, license, or disclose recipient information obtained through the Platform.
Harvest recipient information through automated means.
Use recipient information for unrelated marketing, political campaigning, unsolicited communications, or spam.
Submit intentionally inaccurate recipient information.
Attempt to access recipient records belonging to another user or organization.
Circumvent privacy or visibility controls implemented by the Platform.

Users remain solely responsible for ensuring they have appropriate rights to submit recipient information to the Platform.

4.3 Account Abuse

Users shall not:

Share account credentials with unauthorized individuals.
Allow unauthorized access to their account.
Create multiple accounts to avoid Platform restrictions.
Create accounts for fraudulent, abusive, or deceptive purposes.
Attempt to bypass account suspensions or other enforcement actions.
Purchase, sell, transfer, or assign accounts without our written authorization.
Use another person’s account without permission.

Corporate Clients are responsible for managing authorized users within their organizations.

4.4 Security Violations

Users shall not:

Attempt to gain unauthorized access to the Platform, servers, databases, networks, or systems.
Probe, scan, or test vulnerabilities without written authorization.
Circumvent authentication or security measures.
Interfere with Platform availability or performance.
Introduce malicious software, viruses, worms, ransomware, spyware, or other harmful code.
Conduct denial-of-service attacks or similar activities.
Intercept or monitor communications not intended for the user.
Attempt to decrypt or access encrypted data without authorization.

4.5 Interference with Platform Operations

Users shall not:

Interfere with the normal operation of the Platform.
Disrupt other users’ ability to access or use Platform services.
Consume excessive system resources through abusive activity.
Upload files or content intended to damage or impair Platform functionality.
Manipulate Platform features in ways that negatively affect system performance.
Intentionally overload servers, APIs, or communications infrastructure.

4.6 Automated Access and Data Collection

Except as expressly authorized by Velvet Sage Gifts, users shall not:

Use bots, crawlers, spiders, scrapers, or automated systems to access the Platform.
Copy or harvest Product catalogs, pricing, images, descriptions, or Platform content.
Extract recipient data or user information through automated methods.
Build competing databases using Platform information.
Perform large-scale automated downloads.
Circumvent rate limits or technical safeguards.
Use artificial intelligence systems to systematically reproduce or duplicate Platform content without authorization.

Reasonable search engine indexing and authorized integrations approved by Velvet Sage Gifts are not prohibited by this section.

4.7 Abuse of Promotions and Incentive Programs

Users shall not:

Manipulate promotional campaigns.
Redeem offers through fraudulent means.
Create duplicate accounts to obtain multiple promotional benefits.
Submit false referrals.
Exploit pricing errors or technical glitches.
Artificially inflate referral activity.
Manipulate loyalty, rewards, subscription, or affiliate programs.

Velvet Sage Gifts reserves the right to cancel promotions, revoke incentives, or recover improperly obtained benefits.

4.8 Payment and Transaction Abuse

Users shall not:

Submit unauthorized payment methods.
Initiate fraudulent chargebacks.
Use stolen payment credentials.
Attempt to avoid payment obligations.
Manipulate pricing or checkout systems.
Interfere with payment processing services.
Place orders with no legitimate intent to complete the transaction.

4.9 Misuse of Communications

Users shall not use the Platform’s messaging, reminder, notification, personalization, or communication features to:

Send unsolicited commercial communications.
Transmit spam or bulk unsolicited messages.
Harass, threaten, intimidate, or abuse another person.
Send defamatory, discriminatory, hateful, or unlawful communications.
Promote illegal goods or services.
Distribute malicious links or harmful files.
Misrepresent the identity of the sender.
Send deceptive gift notifications intended to mislead recipients.

Gift messages should remain respectful, lawful, and appropriate for their intended recipients.

4.10 Circumvention of Platform Restrictions

Users shall not:

Attempt to bypass geographic restrictions.
Circumvent shipping limitations.
Avoid account verification requirements.
Interfere with fraud prevention systems.
Attempt to disable Platform safeguards.
Use proxy services or other technologies for the purpose of evading enforcement actions or violating this Policy.

Any attempt to circumvent Platform controls may result in immediate enforcement action, including suspension or termination of Platform access.

5. User Content and Personalization Standards

The Platform may permit users to submit, upload, transmit, store, or otherwise provide content, including but not limited to gift messages, recipient information, personalization requests, photographs, logos, artwork, designs, text, graphics, videos, audio, documents, and other materials (“User Content”).

Users are solely responsible for all User Content they submit through the Platform.

Users agree that User Content shall not:

Violate any applicable law or regulation.
Infringe upon copyrights, trademarks, patents, trade secrets, rights of publicity, privacy rights, or other intellectual property rights.
Contain false, misleading, fraudulent, or deceptive information.
Include defamatory, obscene, abusive, harassing, hateful, discriminatory, threatening, or otherwise offensive material.
Promote violence, illegal activities, terrorism, or criminal conduct.
Contain malicious software, harmful code, or unauthorized executable content.
Violate another person’s privacy or confidentiality.
Contain material that Velvet Sage Gifts reasonably determines to be inappropriate for the Platform.

Users represent and warrant that they possess all necessary rights, licenses, permissions, and authorizations required to upload, submit, or use their User Content.

Velvet Sage Gifts reserves the right, but not the obligation, to review, refuse, remove, restrict, or disable access to User Content that we reasonably believe violates this Policy or applicable law.

6. Corporate Account Responsibilities

Corporate Clients are responsible for ensuring that their administrators, employees, contractors, representatives, and authorized users comply with this Policy.

Corporate Clients agree to:

Maintain appropriate administrative controls over user access.
Promptly remove access for users who are no longer authorized.
Ensure recipient information is collected and used in accordance with applicable privacy laws.
Use recipient data only for legitimate business gifting and relationship management purposes.
Protect confidential business information and personal information maintained within the Platform.
Cooperate with reasonable security investigations involving their accounts.

Corporate administrators are responsible for managing permissions and monitoring activity within their organization’s account.

7. Seller Partner Responsibilities

Seller Partners are expected to conduct business professionally and ethically while participating in the Platform.

Seller Partners shall not:

Misrepresent Products or services.
Submit inaccurate pricing or inventory information.
Upload misleading Product descriptions or images.
Infringe upon the intellectual property rights of others.
Manipulate ratings, reviews, or customer feedback.
Interfere with another Seller Partner’s business.
Attempt to circumvent Platform commissions, fees, or transaction processes.
Conduct transactions outside the Platform when doing so violates applicable agreements with Velvet Sage Gifts.
Misrepresent shipping times, availability, warranties, certifications, or Product specifications.

Seller Partners remain solely responsible for the Products and services they offer, subject to any additional Seller Partner Agreement or marketplace policies.

8. Artificial Intelligence and Automated Features

The Platform may include artificial intelligence, machine learning, recommendation engines, reminder automation, personalization tools, content generation features, or other automated technologies designed to enhance the user experience.

Users acknowledge that:

AI-generated recommendations are informational only.
Automated suggestions may not always be complete, accurate, or suitable for every situation.
Users remain responsible for reviewing recommendations before relying upon them.
AI-generated content should be evaluated using independent judgment before publication or distribution.

Users shall not:

Attempt to manipulate AI systems through abusive, deceptive, or malicious inputs.
Use Platform AI features to generate unlawful, infringing, or harmful content.
Attempt to reverse engineer, copy, extract, or replicate proprietary AI models, recommendation systems, algorithms, prompts, datasets, or related technologies.
Use Platform AI functionality to create competing commercial products or services.
Interfere with the operation or integrity of automated Platform systems.

Velvet Sage Gifts reserves the right to modify, suspend, improve, or discontinue AI-powered features at any time without prior notice.

9. Respect for Intellectual Property

Users shall respect the intellectual property rights of Velvet Sage Gifts, Seller Partners, Customers, and third parties.

Except as expressly authorized, users shall not:

Copy, reproduce, distribute, publish, license, sell, or commercially exploit Platform content.
Remove copyright notices, trademarks, branding, or proprietary markings.
Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code from Platform software.
Create derivative works based upon Platform technology or proprietary content.
Use Velvet Sage Gifts branding, logos, trademarks, trade dress, or other proprietary materials without prior written permission.

Nothing contained in this Policy grants any ownership interest in the Platform or its intellectual property.

Users who believe their intellectual property rights have been infringed should submit notice in accordance with the procedures described in the Platform Terms of Use or by contacting Velvet Sage Gifts through the designated channels identified on the Platform.

10. Monitoring and Enforcement

To help maintain the security, integrity, and reliability of the Platform, Velvet Sage Gifts reserves the right, but not the obligation, to monitor use of the Platform, investigate suspected violations of this Policy, and take appropriate action when we reasonably believe a violation has occurred.

Where permitted by applicable law, enforcement actions may include, without limitation:

Issuing warnings or notices of non-compliance.
Requesting the removal or modification of User Content.
Restricting access to specific Platform features.
Temporarily suspending user accounts.
Permanently terminating user accounts.
Cancelling or refusing orders or transactions.
Removing Seller Partner listings or Products.
Suspending participation in promotional, referral, loyalty, affiliate, or rewards programs.
Recovering improperly obtained promotional benefits or credits.
Restricting access to APIs, integrations, or automated services.
Reporting suspected unlawful activity to appropriate authorities.
Pursuing any other remedies available under applicable law or our governing agreements.

Velvet Sage Gifts may determine, in its sole discretion, the appropriate enforcement action based on the nature, severity, frequency, and potential impact of the violation.

Nothing in this Policy obligates Velvet Sage Gifts to monitor every activity, investigate every reported concern, or take enforcement action in every circumstance.

11. Suspension and Termination

Violation of this Policy may result in the suspension or termination of access to all or part of the Platform.

Velvet Sage Gifts reserves the right to suspend or terminate accounts immediately, with or without prior notice, where we reasonably determine that doing so is necessary to:

Protect the security or integrity of the Platform.
Prevent fraud or financial loss.
Protect Customers, Gift Recipients, Corporate Clients, Seller Partners, or other users.
Comply with applicable law, legal process, or regulatory requirements.
Investigate suspected violations of this Policy or other governing agreements.
Prevent continued misuse of Platform services.

Suspension or termination under this Policy may occur in addition to any other rights or remedies available to Velvet Sage Gifts under the Platform Terms of Use or applicable law.

Termination of Platform access does not relieve any user of obligations or liabilities that accrued prior to termination.

12. Reporting Violations

Users are encouraged to report suspected violations of this Policy, security concerns, fraudulent activity, misuse of the Platform, intellectual property concerns, or other inappropriate conduct.

Reports should include sufficient information, where available, to assist Velvet Sage Gifts in evaluating the concern, including:

A description of the suspected violation.
The individuals, accounts, or organizations involved, if known.
Relevant dates, communications, or supporting documentation.
Any other information that may reasonably assist an investigation.

Velvet Sage Gifts will review reports in accordance with our internal procedures but does not guarantee that every report will result in a particular action or response.

13. Cooperation with Legal and Regulatory Authorities

Velvet Sage Gifts may cooperate with law enforcement agencies, courts, regulatory authorities, governmental entities, payment providers, fraud prevention organizations, and other authorized parties where required or permitted by applicable law.

Nothing in this Policy limits our ability to preserve records, disclose information, or take actions that we reasonably believe are necessary to:

Comply with legal obligations.
Respond to lawful requests or legal process.
Protect the rights, safety, property, or security of Velvet Sage Gifts, our users, or the public.
Investigate fraud, abuse, security incidents, or unlawful conduct.
Enforce our agreements and Platform policies.

Any disclosure of personal information will be handled in accordance with our Privacy Policy and applicable privacy laws.

14. No Waiver of Rights

Failure by Velvet Sage Gifts to enforce any provision of this Policy in a particular instance shall not constitute a waiver of any right to enforce that provision or any other provision in the future.

The exercise of any right or remedy under this Policy shall not limit any other rights or remedies available under the Platform Terms of Use, applicable agreements, or applicable law.

If any provision of this Policy is determined to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

15. Changes to this Acceptable Use Policy

Velvet Sage Gifts may revise this Acceptable Use Policy from time to time to reflect changes in our Platform, services, technologies, business operations, legal obligations, security practices, or applicable law.

The most current version of this Policy will be published on the Platform and will become effective on the Effective Date identified at the beginning of the Policy.

Continued access to or use of the Platform following the publication of an updated Acceptable Use Policy constitutes acknowledgment of the revised Policy. Users who do not agree with any revision should discontinue use of the Platform and, where applicable, close their account in accordance with the Platform Terms of Use.
